Agreement & Definitions

This is a binding contract between Prodhan.com (“we,” “our,” “us”) and the user (“you,” “your”).

Eligibility & Legal Compliance

You confirm that you are at least 18 years old and legally capable of entering into this agreement.

● Prodhan.com is a registered entity in Bangladesh, holding valid Trade License, TIN, VAT & BIN.

● Licensed merchants must register with Prodhan.com and follow:

○ Government e-commerce policies & DNCRP guidelines ( Directorate of National Consumer Rights Protection)

○ Product display & description standards

○ Safety and quality regulations

Product Listing & Accuracy

Sellers must provide truthful, clear descriptions (Bangla or English) with real images.

● Expired, perishable, counterfeit, or adulterated products are strictly prohibited.

● If such products are listed or delivered, sellers must immediately arrange a return/refund and may face account suspension.

Order Processing & Payment

Placing an order creates a digital contract between Buyer, Seller, and Prodhan.com.

● Advance Payment Rules:

○ Sellers must make ordered products ready for handover within 72 hours.

○ Advance payment cannot exceed 10% unless via an official Bangladesh Bank escrow service.

● Payment must follow Bangladesh Bank regulations (mobile wallets, card transactions, and cashback use).

Delivery

● Sellers must hand over goods to the delivery service within 48 hours of receiving an order.

● Delivery to buyers must be completed within 72 hours thereafter (maximum 10 days total).

● Buyers will receive delivery updates via SMS, email, or phone call.

● In case of unavoidable delays, sellers must notify buyers promptly.

Limitation of Liability & Indemnification

Prodhan.com is a facilitator only and is not responsible for:

○ Seller misconduct, misrepresentation, or product defects

○ Delivery service delays or damage caused by third parties

● Users agree to indemnify Prodhan.com against claims arising from misuse, fraud, or false complaints.

● However, where Bangladesh law requires, Prodhan.com will cooperate with authorities to protect consumer rights.

Dispute Resolution

● Governed by the laws of Bangladesh.

● Complaints can be filed with the Directorate of National Consumer Rights Protection (DNCRP).

● Users may pursue litigation with DNCRP’s permission if arbitration fails.

● Prodhan.com will provide mediation support between buyers and sellers before escalation.

Intellectual Property

● All website content, logos, and materials are owned by Prodhan.com or used under license.

● Unauthorized copying, distribution, or use of platform content is strictly prohibited. ● Sellers must ensure that their product content does not violate copyright or trademarks.

Amendments

● Prodhan.com reserves the right to update or modify these terms at any time.

● Users will be notified of significant changes via email or website notices.
